Routley Rewards Beta Application Testing End User License Agreement (this “Agreement”)

This end user license agreement governs your use of the mobile application identified above (the “Agreement”) and is provided to you by Arity, LLC (“Arity, Us, Our, or We”). The mobile application includes without limitation its text, graphics, interfaces, other content, software, computer code, data, trademarks, logos, slogans, names of products and services, documentation, and other components (collectively, the “Application”). You accept this Agreement by either (a) clicking to agree to this Agreement, where this option is available; or (b) using the Application, in which case you are agreeing to be bound by this Agreement.

Welcome to the Arity, LLC (“Arity”) Routley Rewards testing program. This is a voluntary program designed to test various aspects of Routley Rewards, telematics and telematics-based technology for modeling, analytics, and enhancing existing and future product offerings (“the Program”). Enrollment in the testing program is contingent on your acceptance of this agreement. Please retain this document in a safe place.

As a volunteer in the Program, you will be asked to download the Application and may also be asked to provide feedback by survey or interview. You may also be asked to delete the applications once the test period has concluded. If you are employed by Arity, or by Arity’s affiliate Allstate Insurance Company (“Allstate”), have a relationship with Allstate or Arity as a contract worker, or provide services to Allstate or Arity, you understand that your participation is entirely separate from any business or other relationship you may have with Arity or Allstate currently or in the future.

Unless expressly stated, the terms of this Agreement do not modify any other terms set forth in any application marketplace, including, but not limited to, the Apple App Store Terms and Conditions and Google Play Terms of Service or as otherwise required by any application marketplace provider (“Application Marketplace Provider”). If the Application is downloaded from the Apple App Store, only to the extent necessary for these Terms to comply with Apple’s applicable Instructions for Minimum Terms of Developer’s End-User License Agreement (“Apple’s Minimum Terms”), Apple’s Minimum Terms are hereby incorporated into the terms of this Agreement.

You and Arity acknowledge that the terms of this Agreement are entered into between you and Arity, and not between you and any Application Marketplace Provider. You further acknowledge that Arity is solely responsible for the Application.

By entering into this Agreement, you (a “Participant”) agree that you will download the Application to your own mobile device and to activate the appropriate settings, which may include location-based services. Arity reserves the right to amend, modify, waive, supplement or terminate this Agreement at any time and for any reason.

License

Upon your acceptance of this Agreement, Arity grants you a revocable, limited, non-transferrable, non-exclusive license to use the Application on any compatible mobile device that you own or control and as permitted by all applicable terms set forth in any applicable application marketplace.

Use Restrictions

You shall not and shall not permit others to:

(a) interfere with the operation of the Application or another’s use of the Application;

(b) introduce any viruses, worms, malware, trojans, or other malicious or disruptive code;

(d) reverse engineer, decompile, or otherwise attempt to derive source code of the software that powers the Application;

(e) create or use any script or automated tool that attempts to create multiple ways to access or use the Application;

(f) attempt to gain unauthorized access to the Application or any computer system used to provide the Application, circumvent any access restriction or security measures with respect to the Application, or disclose your access information or otherwise give access to the Application to any third party;

(g) tamper, alter, modify, change, disassemble, reverse engineer, copy, or duplicate in any manner the Application or its associated code;

(h) use the Application in any way that violates any applicable law.

If you do any of the above or otherwise violate any of these Terms, your license to use the Application will terminate effective immediately. In addition, you may be subject to legal action and may be denied future participation in any offering distributed by Arity.

Confidential Information

You acknowledge that you may be exposed to confidential and proprietary information belonging to Arity, including but not limited to product features, designs, functionality, performance data, and other non-public information (“Confidential Information”). You agree to maintain the confidentiality of such information and not to disclose, reproduce, or use it for any purpose other than testing and providing feedback to Arity. This obligation of confidentiality shall survive the conclusion of your participation in the Program and remain in effect until such information becomes publicly available through no fault of the employee.

Ownership of Arity Intellectual Property and Feedback

The Application, including all text, graphics, user and visual interfaces, trademarks, logos, computer code, documentation and other content (collectively, the “Content”), is the exclusive property of Arity and is protected by copyright, trademark and other intellectual property laws. No part of the Application or Content may be copied, reproduced, sold, republished, reposted or otherwise distributed for public or commercial use.

As a Participant in the Program you may be asked to participate in a survey or otherwise provide feedback regarding your experience testing the Application. Participation in any survey or otherwise providing any suggestions, enhancement requests, recommendations, or other feedback (“Feedback”) to Arity is not required. However, if you do provide Feedback, you acknowledge that any such Feedback is the exclusive property of Arity, who may use and otherwise incorporate the Feedback without restriction

In the event of a third-party claim that the Application or your possession or use of the Application infringes that party’s intellectual property rights, you and Arity acknowledge that Arity, and not any Application Marketplace Provider, will be solely responsible for the investigation, defense, settlement and/or discharge of any such intellectual property infringement claim.

Wireless Service

The Application transmits data via your wireless carrier or an accessible Wi-Fi network. Arity is not responsible or liable for any data charges associated with the use of the Application. The service may occasionally be restricted, interrupted or discontinued due to conditions including, but not limited to application design, network coverage, government regulation, or other situations beyond Arity’s control.

Location-Based Services

The Application transmits data regarding your GPS location. If you turn off location services for the Application or your mobile device, GPS data will not be captured, and the Application functions will not operate effectively

Privacy

Data collected during your participation will be used in furtherance of the Program. Such data will include information that identifies your precise geolocation. You acknowledge and agree that Arity owns the data gathered by the Application. Arity takes your privacy seriously. Data may continue to be collected until permissions that enable data collection are disabled and the Application is removed from your mobile device. If you wish for the Application to stop collecting data, you must disable permissions that enable data collection and uninstall the Application from your device.

Gift Cards and Sweepstakes

All Participants who, through their use of the Application in accordance with the terms of this Agreement, provides to Arity a minimum of 50 trips within 60 days of installing and activating Application, will receive a $10 Amazon gift card. Participants who choose to fill out an optional survey will be automatically entered into a Sweepstakes where they will be eligible to win an iPad. Participants may also enter the Sweepstakes by submitting a mailed-in entry form including hand print of their complete name, street address, city, state, ZIP code, date of birth, mobile phone number and valid email address on a 3” by 5” plain piece of paper, mailed in a hand-addressed, business-size (#10) envelope with first-class postage affixed, to Arity: 222 W Merchandise Mart Plaza Suite 875, Chicago, IL 60654 (“Mailed Entry”). Limit one (1) Mailed Entry.

Release: By participating in this Sweepstakes, entrants release and agree to hold harmless Arity, LLC and its affiliates, officers, directors, employees, and agents from and against any claim or cause of action and any and all liability with respect to or in any way arising from, this Sweepstakes or the acceptance, possession, receipt or use/misuse of the prize.

Limitations of Liability: Arity LLC is not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, or by any of the equipment associated with or utilized in the Sweepstakes; (2) mechanical failures of any kind, including, but not limited to malfunctions, interruptions, or faulty equipment; (3) unauthorized human intervention in any part of the Sweepstakes; (4) any error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. No more than the stated number of prizes will be awarded.

Privacy: By entering the Sweepstakes, you grant Arity, LLC permission to use your personal information in accordance with its privacy statement which can be found at https://arity.com/privacy/

Ending Participation in the Program

You can end your participation in the Program at any time by deleting the Application. If you would like Arity to delete your personal information, please submit a request by visiting https://arity.consumerprivacyinfo.com

No Support Services

Neither Arity, its affiliates, suppliers, or licensors, nor your network operator are responsible for providing maintenance or support services for the Application.

Disclaimers, Limitations, Exclusions and Indemnity

The Application is provided on an “as is,” “without any warranty,” and “without any liability” basis. Arity does not guarantee the quality, accuracy, completeness, or timeliness of the Application and, to the maximum extent permitted by law, Arity expressly disclaims any warranty of any kind with respect to the Application, including warranties of availability, quality, accuracy, fitness for any use or purpose, compatibility with any standards, or non-infringement. To the maximum extent permitted by law, Application Marketplace Providers shall have no warranty obligations whatsoever with respect to the Application.

Arity, the Application Marketplace Providers, and the Service Providers’ liability for damages caused by the Application shall be limited to the direct property damage to the mobile device in which it is installed caused by Arity’s negligence or willful misconduct, but in no event shall exceed $100. To the extent permitted by law, neither Arity, the Application Marketplace Providers nor the Service Providers will be liable for any special, incidental, exemplary, punitive, or consequential damages arising out of, related to or in connection with the Application, services, or its use, whether based in contract, tort, negligence, strict liability or otherwise. This includes, but is not limited to, any damages arising from third party access to personal information input in the Application, even if Arity has express knowledge of the possibility of such damages. You shall not seek to recover any damages, including consequential, lost profits, special, indirect or incidental damages from Arity, the Application Marketplace Providers or the Service Providers outside of the conditions set forth in these Terms. You must file any lawsuit or other action directed against Arity or its employees, subsidiaries, affiliates, Application Marketplace Providers, Service Providers, or parent companies regarding such damages within one year from the date of the event that caused the damage.

You hereby agree to indemnify, defend, and hold harmless Arity, the Application Marketplace Providers and the Service Providers from and against all claims, losses, expenses, damages, or costs (including, but not limited to, direct, incidental, consequential, exemplary, and indirect damages) and reasonable attorneys’ fees resulting directly or indirectly from or arising out of your use of the Application or your violation of these Terms.

Compliance with Laws

You shall comply with all local, state, and federal laws, regulations, and ordinances that apply to your use of the Application. You may not use, export, or re-export the Application except as authorized by United States law and the laws of the jurisdiction in which the Application was obtained. You represent and warrant (i) that you are not located in a country that is subject to a United States Government embargo or that has been designated by the United States Government as a “terrorist supporting” country and (ii) that you are not listed on any United States Government list of prohibited or restricted parties, such as the Office of Foreign Assets Control (OFAC) list.

General Terms

If any provision of this Agreement is held invalid, void or unenforceable, then that provision is considered severable from the remaining provisions, and the remaining provisions shall remain in full force and effect.

Arity’s failure to enforce any right or provision in this Agreement shall not constitute a waiver of such provision, or any other provision in this Agreement.

Governing Law

The Application is controlled and operated in the United States of America. The Application is intended to be used in the United States of America. This Agreement is governed by and interpreted according to the laws of the state of Illinois.

Termination

The license is effective upon acceptance and continues in effect until terminated by you or Arity. If you fail to comply with this Agreement your rights under this Agreement (including without limitation the license to use the Application) will automatically terminate without notice from Arity. Upon termination, you shall stop using the Application and destroy all copies, full or partial, of the Application. The terms of this Agreement concerning ownership, intellectual property, privacy, liability or the lack thereof, the disclaimer of warranties, indemnification, and governing law survive termination of this Agreement.
